Tigran Karapetyan focuses on Mergers and Acquisitions, Investment Management, Capital Markets, Corporate Governance.  Tigran has over 20 years of experience of advising public and private institutions and individuals on a variety of legal and business matters, such as corporate law, finance and governance, private equity investments and venture capital, investment management and regulatory issues.  Tigran was involved and rendered advisory M&A and related restructuring services in privatization and post privatization processes of six Armenian state owned companies, aiming at implementation of management buyouts & ESOP strategy; assisting in carrying out shareholders’ meeting; developing company’s information policy and advising on the disclosure of information; amending existing internal documents of the company and developing new corporate documents. Tigran has extensive experience in leading teams of lawyers and finance specialists carrying out business and legal due diligence and business valuation of various local businesses. Tigran was actively involved in works initiated by Prime Minister of Armenia on accounting and audit requirements in Armenia. Tigran was responsible for IFRS implementation plan and compulsory audit requirements. Tigran has over 15 years of experience in Armenian capital markets. Tigran occupied leading positions within government regulator of securities regulation in Armenia, where he was at the origin of formation of Armenian capital market regulatory framework and infrastructure and was a master-mind of various initiatives in the industry. Tigran also has a proven track record advising to local players in structuring and leading public debt and equity offerings in Armenia.  Tigran has established and leaded one of the first private institutions specialized in corporate governance. Tigran assisted the Ministry of Economy in redrafting Armenian Corporate Governance Code for banks, state-owned companies and publicly traded companies.

Misak Babajanyan has over 10 years of experience of legal advice to Central Bank of Armenia, publicly held corporations and financial institutions and 2 years of experience in the insurance industry. He has experience in advising on a broad range of matters including civil and financial (banking, insurance, securities, currency) law, law on payment and settlement systems, corporate law, securitization and mortgage-backed securities, AML/CTF, secured transactions, corporate governance, housing finance, taxation, etc.
Misak has participated in development projects for financial system legislation. Along with a team of specialists, he has been working on concept papers on development of various financial instruments and improvement of regulatory framework of the financial contracts and instruments (credit facility agreement, loan agreement, bank deposit agreement, banking services agreement/ bank account opening and maintenance agreement, leasing, factoring, pledge, guaranty, etc.). He led and participated in the teams of legal counsels drafting laws and regulations of the Republic of Armenia on corporate governance in commercial banks, establishment of unified financial regulation and supervision system, deposit guarantee system, CMTPL system, securities market, insurance activities, collection activities, investment funds, pension system, consumer protection, etc.
He acted as an in-house counsel for the Central Bank and for local credit companies and provided legal support on the matters of their day-to-day operation (transactional work, compliance, regulatory issues), as well as represented their interests before the court.
Misak Babajanyan was actively involved in the establishment of mortgage market refinancing and deposit guarantee systems in Armenia. Misak participated in elaboration of deposit guarantee legislation and provided legal assistance in creating and registering the deposit guarantee fund of Armenia.

Gevorg Poghosyan has joined TK & Partners in 2017 as a Junior Partner. Currently, Gevorg also is the CEO adviser of NasdaqOMX Armenia.

Prior to joining the TK & Partners team, Gevorg was the chief legal counsel of Central Depositary of Armenia. Gevorg has 2 years of experience as a judge assistant and then as a senior legal expert at the Cassation Court of Armenia, where he drafted decisions of Cassation Court having precedential value in administrative and civil matters (corporate, insolvency, customs, tax, economic competition law) and also prepared legal opinions with respect to complicated legal issues of the mentioned branches of law and case law of the European Court of Human Rights.

Gevorg participated in national and international rounds of Phillip C. Jessup international law moot court competition twice in 2016 and 2017. His team won the national rounds and then represented Armenia in international round of the competition in Washington DC, USA. Gevorg won the best oralist award of the national rounds in 2017.

Gevorg earned LL.B (2005-2009) and LL.M (2013-2015) from Yerevan State University (Yerevan, Armenia), also second LL.M (2014-2016) from American University of Armenia (Yerevan, Armenia), and currently is a Ph.D student at Yerevan State University.

Gevorg is author of five scientific articles.
