Areas of Practice
Misak Babajanyan has over 10 years of experience of legal advice to Central Bank of Armenia, publicly held corporations and financial institutions and 2 years of experience in the insurance industry. He has experience in advising on a broad range of matters including civil and financial (banking, insurance, securities, currency) law, law on payment and settlement systems, corporate law, securitization and mortgage-backed securities, AML/CTF, secured transactions, corporate governance, housing finance, taxation, etc. Misak has participated in development projects for financial system legislation. Along with a team of specialists, he has been working on concept papers on development of various financial instruments and improvement of regulatory framework of the financial contracts and instruments (credit facility agreement, loan agreement, bank deposit agreement, banking services agreement/ bank account opening and maintenance agreement, leasing, factoring, pledge, guaranty, etc.). He led and participated in the teams of legal counsels drafting laws and regulations of the Republic of Armenia on corporate governance in commercial banks, establishment of unified financial regulation and supervision system, deposit guarantee system, CMTPL system, securities market, insurance activities, collection activities, investment funds, pension system, consumer protection, etc. He acted as an in-house counsel for the Central Bank and for local credit companies and provided legal support on the matters of their day-to-day operation (transactional work, compliance, regulatory issues), as well as represented their interests before the court. Misak Babajanyan was actively involved in the establishment of mortgage market refinancing and deposit guarantee systems in Armenia. Misak participated in elaboration of deposit guarantee legislation and provided legal assistance in creating and registering the deposit guarantee fund of Armenia. Misak also participated in the process of establishment of two major mortgage market refinancing companies, including the establishment of compliance policies and procedures for those companies. Afterwards, for over 3 years he advised on a variety of matters related to the day-to-day operation of those companies, as general counsel, (including the representation of the interests of the companies in various public and private organizations, negotiating and drafting MLAs and other agreements with clients, service providers and other counterparties, dealing with regulatory and licensing issues, housing finance, taxation, and labor issues, and corporate governance matters). Mr. Babajanyan led the team of legal advisers working on the draft law on compulsory motor vehicle third party liability insurance (CMTPL) and actively involved in the process of the establishment of the infrastructures for the CMTPL system in Armenia. As the CEO of Armenian Motor Insurers’ Bureau Misak managed day-to-day activities of the Bureau, including the management of the regulation and supervision of insurance companies’ activities in CMTPL system.

Professional Background
Prior to joining TK Equity Partners Mr. Babajanyan was the CEO of Armenian Motor Insurers’ Bureau, the self-regulatory organization responsible for the regulation and supervision of insurance companies’ activities in CMTPL system. From 2003 to 2013 Misak occupied various positions at the Central Bank of Armenia. He headed the legal advice and development division where he led and participated in development project for financial system legislation. Along with the teams of specialists, he was working on concept papers on development of various financial institutions and instruments and improvement of regulatory framework of the financial contracts and instruments. He also headed the legal division of Central Bank responsible for the legal assistance to the financial supervision division on the regulation of securities market and activities of insurance companies and pawnshops. Misak also acted as an in-house counsel for the Central Bank and provided legal support on the matters of its day-to-day operation (transactional work, compliance, regulatory issues), represented the Bank’s interests before the court. Misak also served as a general counsel at the National Mortgage Company and “Home for Youth” RCO CJSC, mortgage market refinancing companies, where he was responsible for all the legal matters concerning the companies’ day-to-day operation.

Professional & Civic Activities
Mr. Babajanyan is author of five scientific articles. He holds PhD in law since 2007 and teaches banking law and company law at French University in Armenia and Armenian State University of Economics. In 2013 Mr. Babajanyan was the member of the examination commission for the appointment of administrative court judges of The Republic of Armenia. Since 2014, he is the chairman/chairperson of the final examination commission of fiscal law in Armenian State University of Economics. Misak holds a certificate from Central Bank of Armenia authorizing to hold management positions within an insurance company.
