Tigran Karapetyan focuses on Mergers and Acquisitions, Investment Management, Capital Markets, Corporate Governance. Tigran has over 20 years of experience of advising public and private institutions and individuals on a variety of legal and business matters, such as corporate law, finance and governance, private equity investments and venture capital, investment management and regulatory issues. Tigran was involved and rendered advisory M&A and related restructuring services in privatization and post privatization processes of six Armenian state owned companies, aiming at implementation of management buyouts & ESOP strategy; assisting in carrying out shareholders’ meeting; developing company’s information policy and advising on the disclosure of information; amending existing internal documents of the company and developing new corporate documents. Tigran has extensive experience in leading teams of lawyers and finance specialists carrying out business and legal due diligence and business valuation of various local businesses. Tigran was actively involved in works initiated by Prime Minister of Armenia on accounting and audit requirements in Armenia. Tigran was responsible for IFRS implementation plan and compulsory audit requirements. Tigran has over 15 years of experience in Armenian capital markets. Tigran occupied leading positions within government regulator of securities regulation in Armenia, where he was at the origin of formation of Armenian capital market regulatory framework and infrastructure and was a master-mind of various initiatives in the industry. Tigran also has a proven track record advising to local players in structuring and leading public debt and equity offerings in Armenia. Tigran has established and leaded one of the first private institutions specialized in corporate governance. Tigran assisted the Ministry of Economy in redrafting Armenian Corporate Governance Code for banks, state-owned companies and publicly traded companies.

Professional Background 
Tigran is a Chairman of the Board of Trustees of Corporate Governance Center, a local think-tank advising on corporate governance matters, where he is responsible for the governance of the foundation and strategy implementation. Tigran is a founder and general director of Capital Asset Management, one of the leaders in capital markets service providers in Armenia, where he is in charge of daily management of the firm. Tigran is a member of investment committee of the first agriculture focused venture fund FREDA. Tigran has served as a Deputy Chairman of Securities Commission of Armenia, where he was sharing responsibility for policy matters on disclosures, corporate finance and governance, as well as the organization and management of Commission’s activity. Tigran has over 7 years of work experience with Ministry of Finance, from an economist at the Department of Money Circulation and Securities Market to the head of Securities and Exchange Inspectorate. Tigran currently serves as an IFI appointed nominee board member at two Armenian private enterprises.

Professional & Civic Activities
Tigran is a lecturer in Corporate Governance at Department of Economics at Yerevan State University. Mr. Karapetyan is a member of Financial Times Non-Executive Directors’ Club, based in London, UK. Tigran is a member of Steering Committee on Accounting and Audit Regulation Reforms in Armenia.
